Terms of Service

Please read these terms carefully before using ScheduHub.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User", "you", or "your") and ScheduHub ("we", "our", "us", or "the Company") governing your access to and use of the ScheduHub mobile applications, website, and related services (collectively, "the Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of an organization, you must be authorized to accept these Terms on the organization's behalf.

3. Description of Service

ScheduHub is a cloud-based workforce management and shift scheduling platform that enables businesses to:

  • Create and manage employee shift schedules
  • Organize teams into workspaces with customizable roles and permissions
  • Track employee availability, time-off requests, and attendance
  • Facilitate team communication through in-app messaging
  • Generate reports and analytics related to workforce management
  • Access payroll-related features (on applicable plans)

The Service is provided via web browser and mobile applications for iOS and Android devices.

3.1 Service Modifications

We reserve the right to modify, suspend, discontinue, or restrict access to any part of the Service at any time, with or without notice, for any reason including maintenance, updates, or business decisions. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3.2 Service Availability

While we strive to provide reliable service, we do not guarantee that the Service will be available at all times, uninterrupted, or error-free. Scheduled maintenance will be announced in advance when possible.

4. User Accounts

4.1 Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Choose a strong password and keep it confidential
  • Not share your account credentials with others
  • Not create an account using a false identity or someone else's information
  • Not create multiple accounts to circumvent restrictions

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Immediately notify us of any unauthorized access or security breach
  • Take appropriate steps to secure your account
  • Accept responsibility for all activities conducted through your account

We are not liable for any loss or damage arising from your failure to maintain account security.

4.3 Account Termination by User

You may terminate your account at any time through the account settings in the mobile app or by contacting support. Upon termination, your access to the Service will cease, and your data will be retained for 30 days before permanent deletion, as described in our Privacy Policy.

5. Workspaces and User Roles

5.1 Workspace Creation

Users can create workspaces to organize employees and manage scheduling. The user who creates a workspace becomes the Workspace Owner with full administrative rights.

5.2 Workspace Owner Responsibilities

As a Workspace Owner, you are responsible for:

  • Managing workspace members, roles, and permissions
  • Ensuring compliance with applicable employment and labor laws in your jurisdiction
  • Verifying the accuracy of employee data, schedules, and payroll information
  • Obtaining necessary consents from employees for data processing
  • Ensuring appropriate use of the Service by workspace members
  • Maintaining an active subscription to support your workspace limits

5.3 Employee Members

Employees invited to workspaces can view their schedules, submit availability, request time off, and communicate with team members as permitted by the Workspace Owner's configuration.

5.4 Data Controller Relationship

For workspaces processing employee personal data, the Workspace Owner acts as the data controller, and ScheduHub acts as a data processor. A Data Processing Addendum (DPA) is available upon request.

6. Subscription Plans and Billing

6.1 Available Plans

ScheduHub offers the following subscription tiers:

  • Extended Plan: 249 DKK/month or 2,390 DKK/year - Includes 3 workspaces, up to 12 employees per workspace, and advanced features
  • Professional Plan: 699 DKK/month or 6,710 DKK/year - Includes 10 workspaces, up to 30 employees per workspace, and all features
  • Custom Plan: Pay-as-you-go pricing starting at 99 DKK/month + 30 DKK per workspace + 10 DKK per employee (with 20% discount on annual billing)

All prices are in Danish Kroner (DKK) and exclude applicable VAT/MOMS, which will be added at checkout for EU customers.

6.2 Free Trial

New users are eligible for a 30-day free trial of the Extended or Professional plans. The free trial:

  • Provides full access to plan features during the trial period
  • Does not require payment information to start (for monthly billing)
  • Automatically expires after 30 days unless converted to a paid subscription
  • Is available once per user and cannot be combined with other promotions
  • May be canceled at any time without charge

Free trials are not available for yearly billing or if you have previously used a free trial.

6.3 Billing and Payment

By subscribing to a paid plan, you agree to the following billing terms:

  • Billing Cycle: Subscriptions are billed monthly or annually based on your selection
  • Payment Method: You must provide a valid payment method (credit card, debit card, or MobilePay) processed securely by Stripe
  • Authorization: You authorize us to charge your payment method for recurring subscription fees
  • Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date
  • Price Changes: We reserve the right to change pricing with 30 days' advance notice. Existing subscribers will be grandfathered at their current rate for the remainder of their billing period
  • Taxes: You are responsible for all applicable taxes (VAT/MOMS). Prices displayed may not include tax
  • Failed Payments: If payment fails, we will attempt to charge your payment method again. If payment remains unsuccessful, your subscription may be suspended or canceled

6.4 Plan Changes

You may upgrade or downgrade your subscription plan at any time:

  • Upgrades: Take effect immediately. You will be charged a prorated amount for the remainder of your billing period
  • Downgrades: Take effect at the start of your next billing period. You retain access to your current plan features until then
  • Billing Period Changes: Switching from monthly to annual billing or vice versa will take effect at the start of your next billing cycle

6.5 Cancellation and Refunds

  • Cancellation: You may cancel your subscription at any time through account settings or by contacting support. Cancellation takes effect at the end of your current billing period
  • No Partial Refunds: We do not provide refunds or credits for partial months or years of service
  • Free Trial Cancellation: You may cancel during the free trial period without any charge
  • Statutory Rights: This policy does not affect your statutory rights under Danish or EU consumer protection laws, including the 14-day right of withdrawal for EU consumers
  • EU Right of Withdrawal: EU consumers have 14 days from the date of subscription purchase to withdraw from the contract and receive a full refund. This right does not apply if you have fully used the Service during the withdrawal period with your consent

6.6 Overages and Limits

Each plan includes limits on workspaces and employees. If you exceed your plan limits:

  • You will be prompted to upgrade to a higher plan or adjust your usage
  • We may temporarily restrict access to features until limits are met
  • For Custom plans, overage usage will be billed automatically in the next billing cycle

7. Acceptable Use Policy

You agree to use the Service in compliance with all applicable laws and regulations. You agree NOT to:

7.1 Prohibited Activities

  • Violate any local, national, or international laws or regulations
  • Infringe upon intellectual property rights of ScheduHub or third parties
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to systems, accounts, or networks
  • Interfere with or disrupt the Service's operation or servers
  • Use automated tools (bots, scrapers) without written permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or modify any copyright, trademark, or proprietary notices
  • Use the Service to harass, abuse, threaten, or intimidate others
  • Impersonate another person or entity
  • Collect or store personal data of other users without consent
  • Use the Service for fraudulent or unlawful purposes
  • Resell, sublicense, or distribute the Service without authorization

7.2 Workspace Content Standards

When creating or sharing content within workspaces (schedules, messages, documents), you agree not to post content that:

  • Is illegal, harmful, threatening, abusive, or discriminatory
  • Violates privacy rights or employment laws
  • Contains false, misleading, or defamatory information
  • Violates professional or ethical standards

7.3 Enforcement

We reserve the right to investigate violations of these Terms and take appropriate action, including:

  • Warning the user
  • Removing content that violates these Terms
  • Suspending or terminating accounts
  • Reporting illegal activity to law enforcement
  • Taking legal action

8. Intellectual Property Rights

8.1 ScheduHub's Intellectual Property

The Service, including its software, design, trademarks, logos, graphics, text, and other content, is owned by ScheduHub and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you are reserved by ScheduHub.

You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying software without our express written permission.

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

8.3 Trademark

"ScheduHub" and associated logos are trademarks of ScheduHub. You may not use our trademarks without prior written consent.

9. User Content and Data

9.1 Ownership

You retain all ownership rights to the data and content you submit to the Service ("User Content"), including employee information, schedules, messages, and documents.

9.2 License Grant to ScheduHub

By submitting User Content to the Service, you grant ScheduHub a worldwide, non-exclusive, royalty-free license to use, store, process, reproduce, transmit, and display your User Content solely for the purpose of:

  • Providing and operating the Service
  • Maintaining backups and ensuring data availability
  • Improving the Service through anonymized analytics
  • Complying with legal obligations

This license terminates when you delete your User Content or account, except for data retained in backups or as required by law.

9.3 User Responsibilities

You are solely responsible for:

  • The accuracy and legality of User Content
  • Obtaining necessary rights and consents to process employee data
  • Maintaining backups of critical data (we recommend regular exports)
  • Ensuring User Content does not violate third-party rights or applicable laws

9.4 Data Export

You may export your User Content at any time using the data export features in the Service. We recommend maintaining regular backups of critical data.

10. Privacy and Data Protection

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and processing of your information as described in the Privacy Policy.

For workspace owners processing employee personal data, you acknowledge that you are the data controller and are responsible for compliance with applicable data protection laws (GDPR, Danish Data Protection Act). ScheduHub acts as a data processor and will process data according to your instructions and applicable law.

11. Third-Party Services

The Service may integrate with or link to third-party services, websites, or applications (e.g., payment processors, authentication providers). We are not responsible for:

  • The availability, accuracy, or content of third-party services
  • Third-party privacy practices or terms of service
  • Any loss or damage resulting from your use of third-party services

Your use of third-party services is governed by their respective terms and privacy policies.

12. Disclaimers and Warranties

12.1 "As Is" Provision

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

12.2 No Guarantees

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service is free from viruses or harmful components
  • Results obtained from the Service will be accurate or reliable

12.3 Not Legal or Professional Advice

The Service is a software tool and does not constitute legal, accounting, tax, or professional advice. You are responsible for ensuring compliance with employment laws, labor regulations, and tax requirements in your jurisdiction.

12.4 Statutory Rights

Nothing in these Terms affects your statutory rights as a consumer under Danish or EU law.

13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCHEDUHUB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • BUSINESS INTERRUPTION OR LOSS OF GOODWILL
  • COSTS OF SUBSTITUTE SERVICES

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR 1,000 DKK, WHICHEVER IS GREATER.

13.3 Exceptions

The above limitations do not apply to:

  • Our obligations under applicable data protection laws
  • Liability for death or personal injury caused by our negligence
  • Liability for fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded by law

14. Indemnification

You agree to indemnify, defend, and hold harmless ScheduHub and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your User Content or infringement of third-party rights
  • Your processing of employee personal data in violation of data protection laws

15. Termination

15.1 Termination by You

You may terminate your account at any time as described in Section 4.3. Termination does not relieve you of obligations to pay outstanding fees.

15.2 Termination by ScheduHub

We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is inactive for 12 consecutive months (free accounts)
  • Your payment method fails and remains unresolved
  • We are required to do so by law
  • We discontinue the Service (with reasonable notice)

15.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease immediately
  • You will lose access to all User Content stored in the Service
  • Your data will be retained for 30 days, then permanently deleted (see Privacy Policy)
  • You remain liable for any outstanding fees
  • Sections of these Terms that by their nature should survive will remain in effect (e.g., intellectual property, disclaimers, limitation of liability)

16. Dispute Resolution and Governing Law

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions.

16.2 Jurisdiction

Any disputes arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.

16.3 Informal Resolution

Before initiating formal legal proceedings, we encourage you to contact us at legal@scheduhub.app to seek an informal resolution.

16.4 EU Consumer Rights

If you are a consumer in the European Union, you may also have the right to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights under EU consumer protection regulations.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

  • Update the "Last updated" date at the top of this page
  • Notify you via email or in-app notification for material changes
  • Provide a reasonable opportunity to review the changes

Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ScheduHub regarding the Service and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms or delegate our obligations without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, labor disputes, or internet/telecommunications failures.

18.6 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to embargo or designated as a "terrorist supporting" country, and that you are not on any list of prohibited or restricted parties.

18.7 Language

These Terms are provided in English. In case of any conflict between the English version and any translation, the English version shall prevail.

20. Acknowledgment

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.
